Announcement of "Issuer of financial instruments widely distributed among the public" status

CAD IT S.p.A. (www.caditgroup.com), leading company in the Italian financial software market, announces that, given the evidence received in relation to the number of shareholders of the new CAD IT, company resulting from the merger by incorporation into its subsidiary CAD S.r.l. and the simultaneous conversion into an Italian joint stock company (società per azioni) with change of company name into “CAD IT S.p.A.”, and considering that:

  • the total number of shareholders different to the majority shareholders is more than 500;
  • the same shareholders, different to the majority shareholders, hold an overall an at least 5% share in the share capital;
  • the three quantitative limits indicated under the first paragraph of Article 2435-bisof the Italian civil code have been exceeded

has taken note of its status as "Issuer of financial instruments widely distributed among the public" pursuant to Articles 116 of Legislative Decree no. 58 of 24 February 1998 and to Article 2-bis of the Regulation adopted with Consob resolution no. 11971 of 14 May 1999 and, consequently, has complied with the prescribed obligations towards Consob.
